SwimTec / Rosen Aquatic & Fitness Center Agreement

LICENSE AGREEMENT

This License Agreement ("Agreement") is made and entered into as of April 21st 2025, by and between:

Licensee:
SwimTech Gainesville, LLC
7010 NW 23rd Way Unit B, Gainesville, FL 32653

Project Name: SwimTec Orlando Powered by Rosen

Premises
1.1 Licensed Area. Licensor grants Licensee the right to use the Endless Elite Pool area within the Rosen Aquatic & Fitness Center ("Premises").

1.2 Equipment Upgrade. Licensee is permitted to upgrade the existing Endless Elite Pool to a SwimTec Endless Elite Pool at its own expense.

Term
2.1 Initial Term. This Agreement shall commence on and continue for five (5) years ("Initial Term").

2.2 Renewal Term. Upon expiration of the Initial Term, this Agreement shall automatically renew for an additional five (5) years ("Renewal Term"), unless either party provides written notice of intent not to renew at least ninety (90) days prior to the end of the current term.

Fees and Payments
3.1 Revenue Share. Licensee shall pay Licensor seven percent (7%) of gross revenue generated from programming and services conducted using the Endless Elite Pool.

3.2 Payment Collection. Licensee shall collect all payments directly from customers for services rendered at the Endless Elite Pool.

3.3 Programming Rights. Licensee shall have exclusive programming rights to the Endless Elite Pool during the term of this Agreement, unless otherwise agreed in writing by both parties.

Responsibilities
4.1 Facility Maintenance. Licensor shall maintain the facility and ensure water quality standards for the Endless Elite Pool, and utilities.

4.2 Upgrades and Repairs. Licensee shall be responsible for all expenses related to upgrades or repairs of the Endless Elite Pool and associated equipment.

4.3 Marketing. Both parties agree to collaboratively market the SwimTec Endless Elite Pool programs through joint promotions, social media campaigns, and event collaborations, subject to mutual approval.

Insurance and Staffing
5.1 Liability Insurance. Licensee shall maintain comprehensive general liability insurance for its programming at the Premises and name Licensor as an additional insured. Proof of insurance shall be provided prior to the start of programming and upon renewal.

5.3 Liability Waivers. All SwimTec program participants will have an individual or parent/guardian electronic liability waiver signature on file with SwimTec.

5.2 Instructor Qualifications. All instructors provided by Licensee shall be independent contractors, SwimTec Certified, background checked, and certified in CPR and First Aid.

Termination
6.1 Termination for Cause. Either party may terminate this Agreement with written notice if the other party breaches any material term and fails to cure such breach within ninety (90) days of notice.
Governing Law
This Agreement shall be governed by and construed in accordance with the laws of the State of Florida.
Entire Agreement
This Agreement constitutes the entire understanding between the parties and supersedes all prior discussions and agreements, whether oral or written.
